School, Program, and Organization License Agreement

This School, Program, and Organization License Agreement (the "Agreement") is between The Nest Investment Group, LLC, doing business as flowstone ("flowstone," "we," "us"), and the school, district, program, or organization identified on the applicable order or invoice ("Licensee," "you"). By purchasing or accepting a flowstone license, you agree to this Agreement.

1. License granted

We grant you a non-exclusive, non-transferable, non-sublicensable license to access and use flowstone for the scope stated on your order or invoice, for the license term, for your internal use only. Scope may be expressed as a room or classroom, a building, a defined program, department, unit, or service, one organization at a single location, a stated number of staff, or a stated set of locations.

2. Term and renewal

The license runs for one (1) year from the start date on your order unless a different term is stated. Licenses do not auto-renew unless agreed in writing. The license expires at the end of the term.

3. Fees and payment

Fees are stated on your order or invoice. Invoiced orders are due Net 30 unless otherwise stated. Checks are payable to The Nest Investment Group, LLC. Card payments are processed by our PCI-compliant payment processor.

4. Access codes

We provide one or more access codes that unlock flowstone's shared tools. You are responsible for distributing codes only to your authorized staff and for keeping them reasonably secure. Codes are tied to your license term.

5. Acceptable use

You may not resell, rent, or share the license outside your organization; reverse engineer the software; or use flowstone unlawfully. Flowstone's wellbeing and crisis-support content is a supportive aid and is not a substitute for professional care, medical advice, or emergency services.

6. The people you support

Flowstone is designed to collect no personal information about the people you support, whether they are students, residents, patients, clients, or participants. None of them signs in, no account is created for them, and nothing they do in flowstone is tied to them or retained as a record about them.

For schools and districts, our handling of student data is described in our Student Data Privacy statement, which is incorporated into this Agreement by reference, and covers FERPA, COPPA, and state student-data-privacy law. We will review and sign a district Data Privacy Agreement on request.

7. Warranty and disclaimer

We provide flowstone with reasonable care. Except as expressly stated, flowstone is provided "as is," without warranties of any kind, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or related to this Agreement will not exceed the fees you paid for the current license term. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate for a material breach that is not cured within thirty (30) days of written notice. On expiration or termination, your right to use flowstone ends and access codes are deactivated.

10. Governing law

This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules.
